MORS Holding Company announces the holding of the Second Board of Directors Meeting for the year 2025 AD, during which the following meeting agenda items were discussed:

1. Investment of MORS Holding Company in the Eqrar Platform project by acquiring a 75% stake through entering as a partner in Eqrar Platform Company, a Limited Liability Company.

2. Investment of MORS Holding Company in the Shuhnah project by acquiring a 51% stake through entering as a partner in Shuhnah Freight Brokerage Platform Company, a Limited Liability Company.

3. Investment of MORS Holding Company in the Kitch Mode "Cloud Kitchen" project by acquiring a 51% stake through entering as a partner in Kitch Company, a Limited Liability Company.

4. Agreement with Asdaa Financial to manage its business operations through MORS Holding Company in exchange for a 70% share of revenues generated solely through MORS Holding Company, with disclosure of its ownership by the Board Member, Dr. Fahad Farooq Hakeem.

5. Agreement with Diyar Al-Muttahida Real Estate Services Establishment to manage its business operations through MORS Holding Company in exchange for a 70% share of revenues generated solely through MORS Holding Company, with disclosure of its ownership belonging to the Chairman of the Board of Directors, Dr. Fahad Farooq Hakeem.

Due to disclosure procedure requirements, the Board of Directors meeting was called, with its outcomes to be presented to the esteemed shareholders and voted upon through the General Assembly in accordance with disclosure procedures.

Based on the approval of the Board of Directors members, the topics discussed during the meeting will be presented to the esteemed shareholders in the Ordinary General Assembly Meeting, God willing.
